What's It All About? The Basics of Board Service

What does it mean to be a foundation board member? How do boards work? What are your basic responsibilities? In this session, we will cover the key issues of board service, including:

  • Basic board responsibilities
  • Ethics
  • Accountability
  • Effective board practices.

Legal Basics All Trustees Should Know

Being a board member carries some fundamental legal responsibilities. The Council on Foundations Legal Services staff will help you navigate the legal waters, covering these topics:

  • Charitable purpose: private versus public foundations
  • Staying out of jail: self-dealing and intermediate sanctions
  • Conflicts of interest
  • Reasonable board compensation
  • Legal implications of board service.

Explore Your Issues

The institute's unique structure allows time in smaller groups to discuss the following:

  • Understanding asset allocation and investment management
  • Exploring how family dynamics can affect a family foundation board
  • Talking to a senior trustee about the board's role as leader and planner.

Nuts and Bolts

Learn about some of the nuts and bolts of board service, such as:

  • How to manage expectations
  • What you need when you start
  • How to work with the CEO
  • What the board chair does
  • How to have good meetings.

Board Members: The Face of the Foundation

Today's board members are shedding the role of "quiet" counselors and becoming advocates for the foundations they serve. Learn how board members:

  • Establish quality, long-standing relationships that strengthen grantees
  • Raise public awareness of their foundation's role and value in the community
  • Talk to various audiences, including policymakers and the media, about the work of foundations and their importance as community resources.

Putting It All Together

Building on the elements discussed throughout the day, you and your colleagues will be able to reflect on and share what you have learned. Participants are also encouraged to discuss how they may fulfill future needs through resources available in the wider world of philanthropy.
