What's It All About? The Basics of Board Service

What does it mean to be a foundation trustee? How do boards work? What are your basic responsibilities? In this session, you will talk with an executive consultant from BoardSource about the key issues of board service, including the following:
  • Basic board responsibilities
  • Ethics
  • Accountability
  • Effective board practices.
Legal Basics All Trustees Should Know
10:30 a.m.-12:30 p.m.
Being a trustee carries some fundamental legal responsibilities. The Council on Foundations' Legal Services staff will help you navigate the legal waters, covering topics as follows:
  • Charitable purpose: private vs. public foundations
  • Staying out of jail: self-dealing and intermediate sanctions
  • Conflicts of interest
  • What's reasonable in board compensation
  • Legal implications of board service.

Lunch
12:30 p.m.-1:30 p.m.

Explore Your Issues
1:30 p.m.-3:00 p.m.
The institute's unique structure allows time in smaller groups to discuss the following:

  • Reading a profit and loss statement and a balance sheet.
  • Exploring how family dynamics can impact a family foundation board.
  • Looking at the particular issues faced by a fund-raising board.
  • Talking to a senior trustee about the board's role as leaders, planners, and big-picture thinkers.
  • Assessing grantmaking issues specific to board members.

Nuts and Bolts
3:15 p.m.-4:45 p.m.
Learn about some of the nuts and bolts of board services, such as:

  • Managing expectations.
  • What you need when you start.
  • How to work with the CEO.
  • What the board chair does.
  • How to have good meetings.

Putting It All Together
4:45 p.m.-5:00 p.m.
Building on the elements discussed throughout the day, you and your colleagues will have an opportunity to reflect on and share what you have learned. Participants are also encouraged to discuss how they may fulfill future needs through available resources and the wider world of philanthropy.


Evening Networking Reception
5:00 p.m.-6:00 p.m.
Get acquainted with new colleagues, meet Council staff and enjoy refreshments and lively conversation.
